1. General Provisions.

1.1. These Terms and Conditions of Purchase and Sale (hereinafter - "Terms") are a legally binding document for the Parties, establishing the rights, obligations, and responsibilities of the Buyer and the Seller when the Buyer purchases goods in the online store www.roostiks.lt

1.2. The Seller reserves the right to modify, amend, or supplement the Terms at any time in accordance with the requirements of applicable law. The Buyer is informed of such changes on the website of the online store. The Terms valid at the time of placing the order apply to the Buyer.
1.3. The right to purchase in the online store is granted to:
1.3.1. legally competent individuals, i.e., persons of legal age whose legal capacity is not restricted by a court;
1.3.2. minors aged 14 to 18, only with the consent of parents or guardians, except in cases where they independently manage their income;
1.3.3. legal entities;
1.3.4. authorized representatives of all the aforementioned persons.
1.4. By confirming the Terms, the Seller also guarantees that, in accordance with section 1.3, the Buyer has the right to purchase goods in the online store.
1.5. A contract between the Buyer and the Seller is considered concluded from the moment the Buyer, having formed a shopping cart in the online store, provided a delivery address, selected a payment method, and read the Seller’s Terms, clicks the "Confirm Order" button (see section 5, "Ordering, Prices, Payment, Terms").

1.6. Each contract concluded between the Buyer and the Seller is stored in the online store www.roostiks.lt

2. Personal Data Protection.

2.1. The Buyer may order products in the online store:
2.1.1. by registering on www.roostiks.lt and providing the required data;
2.1.2. without registering on www.roostiks.lt
2.2. When ordering products, the Buyer must provide personal data necessary for proper order fulfillment, including: name, surname, delivery address, phone number, and email address.
2.3. By accepting these Terms, the Buyer agrees that their personal data will be processed for the purposes of product and service sales in the online store, business analysis, and direct marketing.
2.4. The Buyer also agrees to receive information messages via email and phone for the purposes of order fulfillment.
2.5. The Buyer undertakes to protect login credentials and not disclose them to third parties.

3. 3. Buyer’s Rights and Obligations

3.1. The Buyer has the right to purchase products in accordance with these Terms and other information provided on the website.
3.2. The Buyer may withdraw from the purchase contract within 14 working days of delivery, except as provided by law.
3.3. The right of withdrawal applies only if the product is undamaged, not substantially changed, and unused.
3.4. The Buyer undertakes to accept the ordered goods and pay the agreed price.
3.5. The Buyer must immediately update any changes in their registration data.
3.6. The Buyer must not share login credentials. Lost credentials must be reported immediately to the Seller.
3.7. By using the online store, the Buyer agrees to these Terms and commits to complying with applicable law.

4. Seller’s Rights and Obligations.

4.1. The Seller undertakes to create all conditions for the Buyer to properly use the services provided by the online store.
4.2. If the Buyer attempts to harm the stability and security of the Seller’s online store or violates their obligations, the Seller has the right to immediately and without notice limit or suspend the Buyer’s ability to use the online store, or, in exceptional cases, cancel the Buyer’s registration.
4.3. The Seller undertakes to respect the Buyer’s privacy rights regarding the personal information belonging to the Buyer, provided in the online store registration form.
4.4. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by the Buyer in Lithuania (excluding the Curonian Spit, where delivery conditions may differ due to the logistics companies' terms).
4.5. The Seller has the right to cancel the Buyer’s order without prior notice if the Buyer does not pay for the goods within 5 (five) business days.
4.6. The online store www.roostiks.lt has the right not to conclude a Purchase-Sale Agreement with a specific Buyer who has refused a Purchase-Sale Agreement and returned goods 2 or more times within the last 12 months.
4.7. The online store www.roostiks.lt has the right to cancel a concluded Purchase-Sale Agreement if the stock of goods specified in the agreement has been exhausted, or if the agreement was concluded by a person who, according to these Rules, did not have the right to conclude it.

5. Ordering, Prices, Payment, Delivery Terms.

5.1. The Buyer may order products 24/7.
5.2. The contract becomes effective when the Seller confirms the order and sends a confirmation email.
5.3. Prices www.roostiks.lt are indicated in euros (EUR), including VAT.
5.4. Payment methods:
5.4.1. Payment via electronic banking - this is an advance payment using the electronic banking system used by the Buyer. To use this payment method, the Buyer must have signed an electronic banking agreement with one of the banks. The Buyer transfers the money to the settlement account of the online store. Responsibility for data security in this case lies with the respective bank, since all monetary transactions are carried out through the bank's electronic banking system.
5.4.2. payment by bank transfer - this is an advance payment when the Buyer, after printing the order and going to the nearest bank branch, transfers the money to the bank account of the online store.
5.4.3. Other payment methods provided in the online store www.roostiks.lt
5.5. The Buyer undertakes to pay for the goods immediately. Only after receiving payment for the goods does the process of preparing the shipment begin and the delivery term starts to be calculated.

6. Product Delivery.

6.1. The Buyer must provide an accurate delivery address.
6.2. The Buyer is responsible for receiving the goods. Failure to do so does not entitle the Buyer to complaints.
6.3. The goods are delivered by the Seller or the Seller's authorized courier.
6.4. Delivery times are indicative. In exceptional circumstances beyond the Seller's control, delays may occur, and the Buyer will be informed.
6.5. The Buyer must inspect the package upon delivery. Damages must be noted on the courier's delivery document.
6.6. The Buyer must, in all cases, immediately inform the Seller if the shipment is delivered in a crushed or otherwise damaged package, if the shipment contains unordered goods or an incorrect quantity of goods, or if the goods are incomplete.
6.7. The Buyer must, in all cases, upon noticing any package damage during delivery, indicate the remarks in the shipment delivery document provided by the courier or draw up a separate report regarding these damages. This must be done in the presence of the courier. If these actions are not performed, the Seller is released from liability towards the Buyer for any damages to the goods related to package damage that the Buyer did not note in the courier's delivery document.

7. Product Quality and Warranty.

7.1. Product specifications are provided in the online store www.roostiks.lt descriptions.
7.2. The Seller is not responsible for minor differences in color, shape, or other parameters due to screen settings.
7.3. The Seller provides warranty as per product descriptions and applicable laws.
7.4. If no specific warranty is given, statutory warranty applies.

8. Returns and Exchanges.

8.1. Returns and exchanges are handled according to the applicable laws of Lithuania.
8.2. If the Buyer wishes to return the goods in accordance with Clause 8.1 of these Rules, the Buyer may do so within 14 (fourteen) working days from the date the goods are delivered to the Buyer, by informing the Seller via the contact methods indicated in the Contacts section, specifying the name of the returned goods, the order number, and the reason for the return.
8.3. When returning goods, the Buyer must comply with the following conditions:
8.3.1. The returned goods must be in their original intact packaging;
8.3.2. The goods must not be damaged by the Buyer;
8.3.3. The goods must be unused, retaining their commercial appearance (labels intact, protective film not removed, etc.) (this clause does not apply if a defective product is being returned);
8.3.4. The returned goods must be complete, in the same set as received by the Buyer;
8.3.5. When returning goods, the purchase document must be provided.
8.4. The Seller has the right not to accept goods returned by the Buyer if the Buyer does not comply with the return procedure established in Clause 8.3.
8.5. When returning an incorrect or defective product, the Seller undertakes to collect such goods and replace them with analogous suitable products.
8.6. In the event that the Seller does not have suitable goods for replacement, the Buyer will be refunded the amount paid.

9. Liability.

9.1. The Buyer is fully responsible for the accuracy of provided personal data.
9.2. The Seller is not liable for losses caused by the Buyer’s failure to comply with these Terms.
9.3. Registered Buyers are responsible for sharing credentials with third parties. Any third party using the Buyer's credentials is treated as the Buyer.
9.4. The Seller is released from any liability in cases where losses arise due to the Buyer, disregarding the Seller's recommendations and the Buyer's obligations, not familiarizing themselves with these Rules, even though such an opportunity was provided to them.
9.5. If there are links in the Seller's online store to websites of other companies, institutions, organizations, or individuals, the Seller is not responsible for the information or activities on those websites, does not supervise or control them, and does not represent those companies or individuals.
9.6. In the event of damage, the responsible Party compensates the other Party for direct losses.

10. Marketing and Information.

10.1. The Seller may run promotions at its discretion www.roostiks.lt.
10.2. Promotion terms may be changed or canceled unilaterally. Changes apply prospectively.
10.3. All communications are sent to the contact details provided by the Buyer.
10.4. The Buyer must send questions or messages via the store's "Contacts" section.
10.5. The Seller is not responsible if the Buyer does not receive messages due to internet or email issues.

11. Final Provisions.

11.1. These Terms are governed by the laws of Lithuania.
11.2. Disputes are resolved by negotiation, or, if unresolved, under Lithuanian law.
